Welcome to our site. We look forward to your active participation in ethanspeaks.com (“Ethan Poetic”) website. We don’t want to overwhelm you with a lot of legal terms and clauses, but we do need to make clear our respective rights and responsibilities related to this service.

1. Acceptance of Agreement

You agree to the terms and conditions outlined in these Terms of Use Agreement (“Agreement”) with respect to our site (the “Site”). This Agreement constitutes the entire and only agreement between us and you, and supersedes all prior or contemporaneous agreements, representations, warranties and understandings with respect to the Site, the content, products or services provided by or through the Site, and the subject matter of this Agreement. This Agreement may be amended at any time by us from time to time without specific notice to you. The latest Agreement will be posted on the Site, and you should review this Agreement prior to using the Site. You are responsible for regularly reviewing these Terms. Your continued use of the Services constitutes your agreement to all such Terms. If you do not agree to these terms, you should not use this site.

2. Copyright

The content, organization, graphics, design, compilation, magnetic translation, digital conversion, pictures, and other matters related to the Site are protected under applicable copyrights, trademarks and other proprietary (including but not limited to intellectual property) rights. The copying, redistribution, use or publication by you of any such matters or any part of the Site, except as allowed by Section 4 is strictly prohibited. You do not acquire ownership rights to any content, document or other materials viewed through the Site. The posting of information or materials on the Site does not constitute a waiver of any right in such information and materials. Ethan Poetic respects the intellectual property of others, and requires that our users do the same. If you believe that your work has been copied and is accessible on this site in a way that constitutes copyright infringement, or that your intellectual property rights have been otherwise violated, please contact Ethan Poetic for reporting copyright infringements.

3. Service Marks

Products and names mentioned on the Site may be trademarks of their respective owners.

4. Limited Right to Use

The viewing, printing or downloading of any content, graphic, form or document from the Site grants you only a limited, nonexclusive license for use solely by you for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works or other use. No part of any content, form or document may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical, other than for your personal use (but not for resale or redistribution).

5. Editing, Deleting and Modification

We reserve the right in our sole discretion to edit or delete any documents, information or other content appearing on the Site.

6. Indemnification

You agree to indemnify, defend and hold us and our partners, attorneys, staff, advertisers, product and service providers, and affiliates (collectively, “Affiliated Parties”) harmless from any liability, loss, claim and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of the Site.

7. Nontransferable

Your right to use the Site is not transferable. Any password or right given to you to obtain information or documents is not transferable.

8. Disclaimer and Limits

THE INFORMATION FROM OR THROUGH THE SITE ARE PROVIDED “AS-IS,” “AS AVAILABLE,” AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE INFORMATION AND SERVICES MAY CONTAIN BUGS, ERRORS, PROBLEMS OR OTHER LIMITATIONS. WE AND OUR AFFILIATED PARTIES HAVE NO LIABILITY WHATSOEVER FOR YOUR USE OF ANY INFORMATION OR SERVICE. ALL RESPONSIBILITY OR LIABILITY FOR ANY DAMAGES CAUSED BY VIRUSES CONTAINED WITHIN THE ELECTRONIC FILE CONTAINING THE FORM OR DOCUMENT IS DISCLAIMED. WE WILL NOT BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT MAY RESULT FROM USE OF OR INABILITY TO USE OUR SITE. OUR MAXIMUM LIABILITY TO YOU UNDER ALL CIRCUMSTANCES WILL BE EQUAL TO THE PURCHASE PRICE YOU PAY FOR ANY GOODS, SERVICES OR INFORMATION.

9. Third-Party Services

We may allow access to or advertise third-party product or service providers (“Merchants”) from which you may purchase certain goods or services. You understand that we do not operate or control the products or services offered by Merchants. Merchants are responsible for all aspects of order processing, fulfillment, billing and customer service. We are not a party to the transactions entered into between you and Merchants. You agree that use of such Merchants is AT YOUR SOLE RISK AND IS WITHOUT WARRANTIES OF ANY KIND BY US, EXPRESSED, IMPLIED OR OTHERWISE INCLUDING WARRANTIES OF TITLE, FITNESS FOR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES ARE WE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO OUR SITE.

10. Third-Party Merchant Policies

All rules, policies (including privacy policies) and operating procedures of Merchants will apply to you while on such sites. We are not responsible for information provided by you to Merchants. We and the Merchants are independent contractors and neither party has authority to make any representations or commitments on behalf of the other.

11. Privacy Policy

Our Privacy Policy, as it may change from time to time, is a part of this Agreement.

12. Payments

You represent and warrant that if you are purchasing something from us or from Merchants that (i) any credit information you supply is true and complete, (ii) charges incurred by you will be honored by your credit card company, and (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes.

12.1 Refund & Chargeback Policy for Coaching, Poetry Workshops, In-Person or Virtual Engagements, Books, Mental Health, Panel Discussions, & Voice Overwork

Due to the nature of our services & products that are not “returnable”, we can only offer a refund within the first 3 days from the date of purchase in the event that the item was purchased unintentionally or by mistake without their consent. If the customer or client had the chance to view the content, they are unable to request a refund or issue a charge-back.

After this time period, we cannot offer a refund unless for some reason there was a technical issue on our side that prevented you from accessing the product and we were not able to fix the problem within a reasonable time-frame.

12.2 Refund & Chargeback Policy for Marketing Services

Once work has been completed, no refunds or chargebacks will be issued. By signing up for our services and or purchasing products, you agree to pay for all services rendered in full. In the event that you decide to cancel our services, any fees paid will still be non-refundable.

12.3 Refund & Chargeback Policy for Ticket Sales

All sales are final and refunds are only allowed in limited circumstances, as explained in this section. Before purchasing tickets, carefully review the event details and ticket selection. No cancellations or changes are made to orders already processed. There are also no reprints of tickets already purchased, except in some circumstances.

13. Securities Laws

This Site may include statements concerning our operations, prospects, strategies, financial condition, future economic performance and demand for our products or services, as well as our intentions, plans and objectives (particularly with respect to products and service offerings), that are forward-looking statements. These statements are based upon a number of assumptions and estimates which are subject to significant uncertainties, many of which are beyond our control. When used on our Site, words like “anticipates,” “expects,” “believes,” “estimates,” “seeks,” “plans,” “intends,” “will” and similar expressions are intended to identify forward-looking statements designed to fall within securities law safe harbors for forward-looking statements. We are not responsible for the content, accuracy or opinions express in such web sites, and such web sites are not investigated, monitored or checked for accuracy or completeness by us. Inclusion of any linked web site on our Site does not imply approval or endorsement of the linked web site by us. If you decide to leave our Site and access these third-party sites, you do so at your own risk.

15. Proposed Product and Service Offerings

All descriptions of proposed products and services are based on assumptions subject to change and you should not rely on the availability or functionality of products or services until they are actually offered through the Site. We reserve the right in its sole discretion to determine how registration and other promotions will be awarded. This determination includes, without limitation, the scope, nature and timing of all such awards.

16. Miscellaneous

This Agreement shall be treated as though it were executed and performed in Lancaster, PA and shall be governed by and construed in accordance with the laws of the State of PA (without regard to conflict of law principles). Any cause of action by you with respect to the Site (and/or any information, products or services related thereto) must be instituted within one (1) year after the cause of action arose or be forever waived and barred. All actions shall be subject to the limitations set forth in Section 8 and Section 10. The language in this Agreement shall be interpreted as to its fair meaning and not strictly for or against either party. All legal proceedings arising out of or in connection with this Agreement shall be brought solely in Lancaster, PA. You expressly submit to the exclusive jurisdiction of said courts and consents to extra-territorial service of process. Should any part of this Agreement be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site is in conflict or inconsistent with this Agreement, this Agreement shall take precedence. Our failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor of the right to enforce such provision.

PART 2 – Terms and Conditions for Ethan Poetic Event Tickets

1. Ticket Purchase and Entry

Age Requirement: Attendees must be at least 18 years of age. Attendees under 18 must be accompanied by an adult.

Ticket Transfer: Tickets are non-transferable and may only be used by the original purchaser unless explicitly stated otherwise by the event organizer.

• Entry Policy: A valid ticket must be presented for entry. The ticket may be in printed form or displayed digitally.

• Re-entry Policy: No re-entry will be allowed once you have left the venue, except in cases of emergency, as determined by event staff.

2. Refunds and Cancellations

• Refund Policy: All ticket sales are final. No refunds will be issued unless the event is canceled or postponed by the organizer.

• Event Cancellation/Postponement: In the case of event cancellation, ticket holders will be refunded the face value of the ticket. If the event is postponed, tickets will be valid for the rescheduled date, and no refunds will be issued.

• Force Majeure: The organizer is not responsible for cancellations or changes due to events outside their control, including but not limited to natural disasters, government regulations, or health crises.

3. Seat Assignments

• Seat Changes: The organizer reserves the right to modify seat assignments at their sole discretion. This may occur due to operational needs, safety concerns, or other unforeseen circumstances. In the event of a seat change, the organizer will make reasonable efforts to provide a comparable seat, but no guarantees are made.

• No Guarantee of Specific Seats: While efforts are made to honor ticketed seat assignments, the organizer retains the right to reassign seats as necessary. This right is exercised solely at the organizer’s discretion, and no refunds or compensation will be provided for seat changes.

4. Code of Conduct

• Behavior: Attendees are expected to behave respectfully towards others. Disruptive behavior, including harassment, is not tolerated and may result in removal from the event without a refund.

• Recording: Unauthorized recording or photography during the event is prohibited. The organizer reserves the right to confiscate recording devices and remove violators from the premises.

• Dress Code: Attendees must dress appropriately. The organizer reserves the right to refuse entry based on inappropriate attire.

5. Liability and Safety

• Personal Belongings: The organizer is not responsible for lost, stolen, or damaged personal belongings. Attendees are advised to keep their possessions secure.

• Medical Emergencies: In the case of a medical emergency, notify event staff immediately. The organizer is not liable for any injury or illness that may occur at the event.

• Safety Protocols: Attendees must follow all safety protocols, including any that pertain to health and security, such as mandatory mask-wearing, social distancing, or security screenings.

6. Intellectual Property

• Content Ownership: All content presented during the event, including speeches, materials, and presentations, is the intellectual property of the organizer or the speaker and may not be reproduced, distributed, or used without explicit permission.

• Use of Likeness: By attending the event, attendees consent to being photographed, filmed, or otherwise recorded for promotional purposes by the organizer.

7. Data Privacy

• Data Collection: The organizer may collect personal data, including names and contact information, for the purpose of ticketing, communications, and event updates.

• Data Sharing: Personal data will not be shared with third parties without consent, except where necessary for event management or as required by law.

• Opt-Out: Attendees may opt out of communications at any time by contacting the organizer directly.

8. Amendments

• Changes to Terms: The organizer reserves the right to amend these terms and conditions at any time. Any changes will be communicated to ticket holders via email or the event website.

9. Governing Law

• Jurisdiction: These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction where the event is held.

By purchasing a ticket and attending the event, you agree to abide by these terms and conditions. The organizer reserves the right to refuse entry or remove any attendee who violates these terms.
